Mortgage & Registered Mortgage (Geundangwon) Lawyer | Understanding priority, foreclosure, and disputes over secured claims
Summary
A mortgage (저당권) secures a fixed, already-determined debt against real estate, while a registered mortgage (근저당권, "geundangwon") secures a fluctuating maximum amount (채권최고액) for debts that may increase or decrease over time (민법 제356조, 민법 제357조). Both give the holder the right to have the property sold at auction and to be paid out of the proceeds ahead of unsecured creditors, but disputes commonly arise over the registered maximum amount, the order of registration, and whether the underlying debt still exists. Because Korean real estate almost always carries at least one geundangwon in practice, most disputes here are really disputes about how much is actually still owed and who gets paid first.
Korean law recognizes two related but distinct real-estate security devices. Which one applies to your case changes how the debt amount is proven and how foreclosure proceeds.
Mortgage (저당권)
Used for a single, fixed loan with a set principal and interest
Secured amount
Fixed at the amount actually registered
Typical use
One-time loans, installment sale security
Extinction
Ends automatically once the debt is repaid
Legal basis
민법 제356조
Because the secured amount is fixed, repaying the underlying debt in full extinguishes the mortgage even without a separate cancellation registration, though cancellation should still be filed to clear the record (민법 제369조).
Registered Mortgage / Geundangwon (근저당권)
Used for continuing or revolving credit, such as a business line of credit or repeated short-term loans
Secured amount
Capped at the registered maximum (채권최고액), not the exact debt
Typical use
Revolving loans, ongoing business credit, rental deposits
Extinction
Survives partial repayment; must be formally cancelled or the debt relationship terminated
Legal basis
민법 제357조
The registered maximum amount is not the same as the current outstanding debt — it is a ceiling that can be higher or lower than what is actually owed at any given time (민법 제357조 제1항).
Mortgage & Registered Mortgage (Geundangwon) | How Priority and Registration Order Decide Who Gets Paid
When a property is sold through auction, secured creditors are paid in the order their security interests were registered, not in the order the debts arose. Understanding this order is essential before lending against, buying, or leasing a property that already carries a registered mortgage.
Registration date fixes priority
Between multiple mortgages or geundangwon on the same property, the one registered earlier is paid first from the auction proceeds, regardless of when each loan was actually disbursed (부동산등기법 관련 등기 순위 원칙). A buyer or later lender should always pull the registry (등기부등본) before relying on the property as collateral.
The registered maximum amount does not equal the real debt
For a geundangwon, the 채권최고액 printed on the register is a ceiling, and the actual balance owed can be lower or, in rare cases involving accrued interest and costs, close to that ceiling (민법 제357조). This gap is one of the most common sources of dispute when a property changes hands or when a junior creditor calculates how much value is actually left for them.
Tenants with a deposit may compete for the same proceeds
A residential or commercial tenant who registered their lease or obtained a fixed date (확정일자) before a mortgage was registered can have priority over that mortgage for repayment of their deposit (주택임대차보호법, 상가건물임대차보호법). This is frequently disputed when a landlord grants a mortgage after a tenant has moved in but before the lease was properly dated.
Mortgage & Registered Mortgage (Geundangwon) | What Happens When the Debt Isn't Repaid — the Foreclosure Auction
If the secured debt falls into default, the creditor can petition the court for an auction of the mortgaged property rather than suing for money first (민사집행법 제264조). This is a court-supervised process, but it moves on its own timeline once started, and the debtor's options narrow as it progresses.
Filing the auction petition
The mortgage holder files a petition for a real-estate auction (임의경매) directly with the court where the property is located, attaching the registered mortgage or geundangwon and proof of the underlying default (민사집행법 제264조). Unlike a general money judgment, this route does not require a separate lawsuit to first establish the debt.
Appraisal, sale, and distribution
The court appraises the property, sets a minimum bid price, and holds the sale; after the sale is confirmed, proceeds are distributed to creditors according to their registered priority (민사집행법 제268조 등). A debtor who disputes the amount claimed must raise that dispute before distribution, since afterward remedies are far more limited.
Options before the auction concludes
A debtor can stop the process by repaying the debt (with the creditor's cooperation to withdraw the petition), negotiating a settlement, or in limited cases seeking a stay of the auction if there is a genuine legal defect in the underlying claim or the registration itself. Once the sale is confirmed, however, reversing it becomes very difficult even if a dispute over the debt amount later surfaces.
Mortgage & Registered Mortgage (Geundangwon) | Disputing the Debt Amount or the Validity of the Registration
Not every mortgage or geundangwon on the books reflects reality. Debts get partially repaid without the registration being cleared, guarantees get misdescribed, and sometimes a security interest is registered based on a forged or invalid document. These disputes require different evidence than a simple loan case.
Claiming the debt was already repaid
Where a mortgage secures a fixed debt that has been fully repaid, the debtor can demand cancellation of the registration and, if the creditor refuses, file a lawsuit for cancellation of the mortgage registration (근저당권말소청구). Bank transfer records, receipts, and any written settlement are the core evidence in these cases.
Challenging the actual balance under a geundangwon
Because a geundangwon secures a fluctuating balance up to a ceiling, disputes often center on how much is actually owed at the time of foreclosure or sale — the parties may need an accounting of principal, interest, and any agreed default charges to determine the true figure within the registered maximum (민법 제357조).
Attacking a forged or unauthorized registration
If a mortgage or geundangwon was registered using a forged power of attorney, a stolen seal, or without the true owner's consent, the registered owner can seek cancellation on the ground that the underlying registration is void, though this generally requires strong documentary or circumstantial proof given the presumption of validity that registered interests carry in practice.
Mortgage & Registered Mortgage (Geundangwon) | From Registry Review to Resolution
1
Registry and contract review We start by examining the property registry (등기부등본), the underlying loan or credit agreement, and any repayment history to establish what is actually owed and how the security interests are ranked.
2
Strategy for your position For creditors, this means assessing whether to proceed with a foreclosure auction or pursue a separate collection action; for debtors or buyers, it means identifying grounds to cancel, reduce, or delay enforcement of the registered claim.
3
Filing or responding in court or auction proceedings We prepare and file petitions for real-estate auction, applications to stay or object to an ongoing auction, or lawsuits for cancellation of a mortgage registration, and represent you at each required hearing.
4
Distribution and post-sale issues If the property is sold, we review the distribution schedule to confirm your claim was properly ranked and paid, and can raise an objection to the distribution if the calculation appears incorrect.
5
Settlement where appropriate Many of these disputes resolve through a negotiated repayment plan, partial release of the registered amount, or a settlement that avoids the cost and delay of a full auction; we pursue this option in parallel when it serves your interest.
Mortgage & Registered Mortgage (Geundangwon) | How Fees Are Calculated
Consultation An initial review of the registry and relevant documents to assess whether the security interest is valid, what is actually owed, and what remedies are realistically available.
Retainer fee Set based on the complexity of the matter — whether it is a straightforward cancellation request, a contested auction, or a case involving allegations of forged registration — and on the value of the claimed amount or the property involved.
Contingency or success fee Where applicable, a portion of the fee may be tied to the amount recovered, saved, or successfully removed from a distribution schedule; this is agreed in advance and is never framed as a guaranteed outcome.
Court and execution costs Auction petitions, appraisal fees, registration fees, and other statutory costs are billed separately as actual expenses (실비) incurred during the proceeding.
※ Costs vary depending on case complexity and specific circumstances; exact fees will be provided during consultation. No specific outcome is guaranteed.
Mortgage & Registered Mortgage (Geundangwon) | Self-Check Before You Act
1️⃣ For Lenders / Mortgage Holders
Was the mortgage or geundangwon properly registered with the correct registered maximum amount?
Has the debtor defaulted in a way that is clearly documented (missed payments, notice of default)?
Are there earlier-registered security interests or tenant deposits that would be paid ahead of you?
Do you have the original loan agreement and evidence of disbursement ready to attach to an auction petition?
2️⃣ For Debtors Facing Foreclosure
Has the property already fully repaid the debt but the registration was never cancelled?
Do you believe the amount claimed exceeds what you actually owe under the registered maximum?
Has an auction petition already been filed, and do you know the case number and court?
Are you exploring repayment, settlement, or a legitimate legal ground to stay the auction before the sale is confirmed?
3️⃣ For Buyers or Tenants Discovering a Registered Mortgage
Did you check the registry (등기부등본) before signing the contract or moving in?
Is there an existing geundangwon whose registered maximum amount could exceed the property's remaining value?
If you are a tenant, did you obtain a fixed date (확정일자) or registration before or after the mortgage was recorded?
Does the seller or landlord's disclosure match what is actually on the registry?
Frequently Asked Questions
Q. What is the difference between a mortgage and a geundangwon in simple terms?
A. A mortgage secures one specific, already-fixed debt amount, while a geundangwon secures a maximum amount for debts that can rise and fall over time, such as a revolving credit line (민법 제356조, 민법 제357조). Most everyday bank loans against real estate in Korea actually use a geundangwon rather than a plain mortgage.
Q. I fully repaid my loan, but the geundangwon is still on the registry. What do I do?
A. A geundangwon does not automatically disappear on repayment the way a fixed mortgage effectively does — it must be formally cancelled through a cancellation registration, usually with the creditor's cooperation. If the creditor refuses or is unresponsive, you may need to file a lawsuit demanding cancellation of the registration.
Q. Can the bank auction my property for the full registered maximum amount even if I owe less?
A. No — the registered maximum amount (채권최고액) is a ceiling on what can be secured, not the actual debt. In an auction or distribution, only the actual outstanding balance (principal, interest, and agreed charges) up to that ceiling can be claimed, and disputing an inflated claimed balance is a common issue in these cases.
Q. Someone registered a mortgage on my property without my consent. Can I remove it?
A. If the registration was based on a forged document, stolen seal, or lack of authority, you can pursue cancellation on the ground the registration is invalid. These cases are fact-intensive and generally require strong documentary evidence to overcome the practical presumption that a registered interest is valid.
Q. How long does a foreclosure auction take from filing to sale?
A. Timelines vary significantly by court and by whether objections or stays are filed, and no fixed duration can be promised. Once the auction petition is accepted, the process moves through appraisal, a minimum bid announcement, the sale itself, and distribution, and a debtor's window to raise defenses narrows as each stage is completed.
Q. As a tenant, can my deposit be wiped out if the landlord's property is foreclosed?
A. It depends on whether you obtained a fixed date (확정일자) or registered your lease before or after the mortgage was recorded; earlier tenants can have priority over a later mortgage for their deposit under housing and commercial lease protection statutes (주택임대차보호법, 상가건물임대차보호법). This is why checking the registry before signing a lease matters.
Q. Can I negotiate with the bank to lower the registered maximum amount instead of going through a full auction?
A. Yes, partial repayment combined with a request to reduce the registered maximum amount, or a negotiated release of part of the collateral, is often possible and can avoid the cost and uncertainty of a full auction. Whether a lender agrees depends on the lender's internal policy and the strength of your negotiating position.
Q. What should I check before buying a property that already has a geundangwon on it?
A. Pull the current registry (등기부등본) to see the registered maximum amount, confirm with the seller how much is actually owed against it, and make sure the sale contract clearly allocates responsibility for paying off or transferring that geundangwon at closing. A mismatch between the registered ceiling and the real balance is one of the most frequent post-purchase disputes.
Q. Do I need a lawyer for a simple mortgage cancellation, or can I do it myself?
A. Straightforward cancellations where the creditor cooperates can often be handled administratively without litigation. A lawyer becomes more useful once the creditor refuses to cooperate, disputes the amount, or when the matter is heading toward or already inside a foreclosure auction, at which point deadlines and procedural rules become more consequential.
